Agreement between Gay and Lesbian Services Network, Inc., a 501(c)(3) not-for-profit corporation, having oversight and control of Gay Talk and www.gaytalk.org and the WebPartner Project, further referred to as GLSN and your not-for-profit club, group or organization, further referred to as The WebPartner

1. GLSN agrees to place the text version of the name or logo, determined by mutual consent, of the WebPartner on the initially appearing webpage at http://www.gaytalk.org/. If the initially appearing page is to be used as an intro page (ex: Macromedia Flash or SunSplash or redirect page) the link may appear on the second appearing page. Such placement shall be under the gaytalk.org WebPartner banner. Such placement shall include a link reference to the WebPartner's website. The order of placement of all WebPartners shall be alphabetically. If a logo is utilized the logo shall be designed and maintained by the WebPartner and a copy shall be provided to GLSN via e-mail attachment to . The logo shall comply with the following: a) size shall be no larger than 105 pixels wide and 48 pixels high; b) logo shall be provided in .jpg or .gif format; c) any changes to the logo by the WebPartner will require the WebPartner to provide GLSN with a copy of the redesigned logo via e-mail attachment to . The WebPartner further agrees to notify GLSN via e-mail to of any change to the link reference to be associated with the placement.

2. The WebPartner agrees to place the WebPartner logo on the initially appearing webpage of the WebPartner's website. If the initially appearing page is to be used as an intro page (ex: Macromedia Flash or SunSplash or redirect page) the link may appear on the second appearing page. The location of the placement on the initially appearing webpage shall be at the sole discretion of the WebPartner. Such placement shall include a link reference to the GLSN's website at http://www.gaytalk.org. GLSN shall provide the WebPartner with a copy of the WebPartner logo via e-mail attachment. GLSN shall provide the WebPartner with the html coding to be included in the WebPartner's webpage. The WebPartner logo shall comply with the following: a) size shall be no larger than 105 pixels wide and 48 pixels high; b) logo shall be provided in .jpg or .gif format; c) any changes to the logo by GLSN will require the GLSN to provide the WebPartner with a copy of the redesigned logo via e-mail attachment. GLSN further agrees to notify the WebPartner via e-mail of any change to the link reference to be associated with the placement.

3. On or about the fifth of each month GLSN will forward to the WebPartner a copy of the statistics regarding clicks to the WebPartner's site from gaytalk.org. The WebPartner is under no obligation to provide the same information to GLSN.

4. Either GLSN or the WebPartner may withdraw from this agreement at any time, for any reason.

5. GLSN and the WebPartner shall hold each other harmless for any damage or injury that may result from this agreement.

6. GLSN and the WebPartner agree there is no fee for participation in the WebPartner Project.
